1. Agreement to Terms

Welcome to Morphist ("we," "our," "us," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Morphist mobile application, website, and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date above and, where appropriate, through in-app notifications. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Definitions

  • "Account" means the account you create to access and use the Service.
  • "Content" means any text, voice recordings, audio, data, or other materials you create, upload, or store using the Service.
  • "Device" means any smartphone, tablet, computer, or other electronic device used to access the Service.
  • "Local Data" means Content that is stored exclusively on your Device and not transmitted to our servers.
  • "User" or "you" means any individual who accesses or uses the Service.

3. Eligibility

You must be at least 13 years old (or 16 years old in the European Union) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of 18, you represent that you have obtained parental or guardian consent to use the Service.

4. Account Registration

To access certain features of the Service, you may be required to create an Account. When creating an Account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your Account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your Account
  • Notify us immediately of any unauthorized use of your Account

We reserve the right to suspend or terminate your Account if any information provided is inaccurate, false, or no longer current.

5. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Morphist application on your personal Device(s)
  • Access and use the Service for your personal, non-commercial purposes

This license does not include the right to:

  • Modify, copy, distribute, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Rent, lease, lend, sell, or sublicense the Service
  • Use the Service for any commercial purpose without our prior written consent
  • Remove, alter, or obscure any proprietary notices on the Service

6. Local-First Architecture & Data Storage

Morphist is designed with a local-first architecture, meaning:

  • Your Data Stays on Your Device: By default, your Content is stored locally on your Device and is not automatically transmitted to our servers.
  • You Control Your Data: You have full control over your Local Data. We cannot access, view, or recover Local Data stored on your Device.
  • Data Loss Responsibility: Because Local Data is stored on your Device, you are solely responsible for backing up your data. We are not liable for any loss of Local Data due to device failure, loss, theft, or any other cause.

Certain features may require data synchronization or cloud storage. When you opt into such features, we will clearly inform you what data will be transmitted and stored on our servers.

7. Encryption & Security

We implement end-to-end encryption and other security measures to protect your data:

  • Encrypted Storage: Content stored on your Device may be encrypted using industry-standard encryption protocols.
  • Encrypted Transmission: Any data transmitted between your Device and our servers is encrypted in transit.
  • No Backdoors: We do not maintain encryption keys that would allow us to decrypt your encrypted Content without your authorization.

While we strive to protect your data, no security system is impenetrable. You acknowledge that you use the Service at your own risk and are responsible for maintaining the security of your Device and Account credentials.

8. Voice Features & Audio Data

Morphist includes voice-first features that allow you to interact with the Service using voice commands and recordings:

  • Voice Processing: Voice data may be processed locally on your Device or, with your consent, transmitted to our servers or third-party services for processing.
  • Voice Recordings: Any voice recordings you create are treated as your Content and are subject to the local-first and encryption provisions described above.
  • Microphone Access: The Service requires microphone access to enable voice features. You can revoke this permission at any time through your Device settings, though this may limit functionality.
  • No Passive Listening: The Service does not passively listen to or record audio without your active initiation.

9. User Content

You retain all ownership rights to the Content you create using the Service. By using the Service, you grant us a limited license to process your Content solely as necessary to provide the Service to you.

You represent and warrant that:

  • You own or have the necessary rights to your Content
  • Your Content does not violate the rights of any third party
  • Your Content complies with all applicable laws and these Terms

We do not claim ownership of your Content and will not use, share, or sell your Content for advertising or marketing purposes.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to transmit any harmful, threatening, abusive, or otherwise objectionable material
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated means to access the Service without our express permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service to infringe upon the intellectual property rights of others
  • Use the Service to collect or harvest personal information about other users

11. Prohibited Content

You agree not to use the Service to create, store, or transmit Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Infringes any patent, trademark, copyright, or other intellectual property rights
  • Contains viruses, malware, or other harmful code
  • Promotes illegal activities or violence
  • Contains child sexual abuse material or exploits minors in any way
  • Violates the privacy or publicity rights of others

12. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding your Content), is and will remain the exclusive property of Morphist and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent.

13. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

14. Subscriptions & Payments

Certain features of the Service may require a paid subscription. If you purchase a subscription:

  • Billing: You will be billed in advance on a recurring basis (monthly or annually) according to your selected plan.
  • Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date.
  • Cancellation: You may cancel your subscription at any time through your app store account settings (Apple App Store or Google Play Store).
  • Refunds: Refunds are handled according to the policies of the app store through which you made your purchase.
  • Price Changes: We reserve the right to change subscription prices. Any price changes will take effect at your next renewal period.

15. Account Termination

You may terminate your Account at any time by deleting the app and contacting us to request Account deletion.

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your license to use the Service will immediately cease
  • You must delete all copies of the application from your Devices
  • Local Data on your Device will remain unless you delete it
  • Any data stored on our servers may be deleted in accordance with our data retention policies

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORPHIST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or Content
  • Loss of Local Data stored on your Device

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE (12) MONTHS.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Morphist and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts located in San Francisco County, California.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

20. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.

21. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Morphist regarding your use of the Service and supersede all prior agreements and understandings.

23. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Morphist.
